Summary
The Company is a diversified global business headquartered in the United Arab Emirates, which operates across sectors and domains such as ports and logistics, power and engineering, business aviation, food & beverage, private equity and venture capital. The company’s employs over 4,500 people in 20 countries across five continents.

The Company operates two distinct investment divisions requiring the Senior Legal Counsel’s oversight both the divisions. The former focuses on a portfolio of more mature businesses and funds (private equity investments), whereas the latter (which will be the candidate’s primary day to day focus) focusses on venture capital investments with a global mandate (e.g. MENA, USA, India, SE Asia) to invest in early to late stage companies from a wide variety of sectors (e.g. tech and tech-enabled businesses across sectors and deep tech companies, e.g. AI, big data, block chain, cybersecurity, etc.)

The company prides itself on its nimble, high-powered and diverse investment team and is looking for a Senior Lawyer with similar qualities. The ideal candidate would have solid and broad-based corporate experience (5PQE+) gained from a top tier international firm and, in particular, be familiar with the venture capital landscape and have venture capital deal experience. S/he has a strong (ideally common law) degree from a recognized university and practiced law in a major commercial centre. In-house experience is a definite plus and whilst experience of practicing law in the UAE is desirable, it is not essential.

The ideal candidate hails from a corporate legal background, being well-versed in the fundamentals of corporate and commercial transactions. S/he has impeccable technical skills and sufficient confidence and ability to operate in a fast-paced and diverse environment with close contact with senior management and members of the company’s high-powered investment and finance team.

Reporting to executive Director and supervising the Legal Counsel, the Senior Legal Counsel is responsible for conducting legal due diligence processes on investments drawn from a spread of industry sectors and drafting and advising on Share Purchase Agreements, Shareholder Agreements and a wide suite of (primary and ancillary) corporate and commercial contracts, being as comfortable with bespoke solutions as they are with market standard precedents. S/he must be a confident negotiator and a good project manager capable of managing several transactions at once.

As most of the investment opportunities are founder-led, a key criterion is good commercial judgment – being able to strike the right balance between investor protection and giving the founder/entrepreneur sufficient freedom to operate the business optimally.

 

Major Function:
This function is to manage and oversee the existing Legal Department, and provide legal and policy advice on a wide range of legal matters related to the company’s business activities; to conduct extensive research on all legal issues, local laws and related government regulations in order to facilitate the company’s business operations; to routinely draft legal documents pursuant to demanding deadlines and perform highly responsible and confidential tasks (in many cases without outside counsel’s assistance); to ensure legal
Compliance, risk mitigation and legal support internally to all Business Units and to represent the company externally.

 

Essential Functions:

 

Corporate Governance
Oversee the registration and renewal of all company licenses and memoranda of association in order to ensure the on-going validity of all company licenses and memberships.

Corporate & Commercial Practice
Together with the existing Legal Department, support the various Business Units with the preparation, review and negotiation of commercial agreements and related documents. Conducting in-depth legal due diligence on new investment opportunities and drafting and advising on Share Purchase Agreements, Shareholder Agreements and a wide suite of (primary and ancillary) corporate and commercial contracts, being as comfortable with bespoke solutions as they are with market standard precedents. Participating in active negotiations and managing the process on several transactions at once.
Make recommendations and provide legal advice in response to queries from the various Business Units.
As a member of the CE Review Committee, carry out detailed periodic reviews on all existing investments.

Legal Research
 Conduct research on local, state and federal laws (and where required certain international laws) that relate to the company’s business (e.g. highlighting legal risks and exposures).
 Identify, assess and recommend solutions to potential legal issues that would affect the company’s business (e.g. keeping up-to-date with industry-specific laws).
 Conduct regular research to identify new policies, procedures and processes for compliance with all relevant legislation.

Assurance and Compliance
Ensure that all corporate registration and licensing documents are compliant with relevant legislation and government rules and regulations.
 Reporting and Relationship Management
 Report to the Executive Director on administrative issues related to the Legal Department work.
 Manage the members of the Legal Department.
 Maintain and exhibit excellent working relationships with all company staff.
 Continuous Development of Position
 Recommend initiatives to improve Legal Department operational activities and strategy taking into account ‘international best practices’.
 Conduct regular research and studies on legal issues, particularly new policies and procedures.

Minimum Educational, Technical Qualifications/Certifications Required
 Bachelor, honours or master’s degree in Law from a reputable university and/or graduate from an accredited law school;
 Fully registered legal practitioner.
 Minimum 6-8 years of relevant experience as a lawyer in a common-law jurisdiction or the UAE;
 Experience in international contract drafting and negotiation;
 Experience in general corporate/commercial, projects, M&A
 Experience in due diligence and drafting legal documents in early stage venture capital investments
 In-house experience would be advantageous.
